Article 1: Applicability 

1.1 "Honest Energy" is the trade name of Roofpower Netherlands B.V. Whenever these terms and conditions or any other document issued by or on behalf of Roofpower Netherlands B.V. refer to the name "Honest Energy," it shall be considered interchangeable with Roofpower Netherlands B.V. from a legal perspective. 

1.2 These General Terms and Conditions apply to all legal relationships between Roofpower Netherlands B.V. (hereinafter referred to as “Honest Energy”) and its other party (hereinafter referred to as “Customer”). And to all agreements entered into with Honest Energy including all orders, order confirmations and offers. 

1.3 Any deviations from these General Terms and Conditions can only be made if expressly agreed upon in writing, while other provisions of these terms and conditions remain in full force. 

1.4 If the Customer also presents their general terms and conditions, they do not apply unless expressly agreed to in writing by Honest Energy. 

1.5 “Customer” refers to any visitor to the Honest Energy Website or any individual or entity engaging in a contractual relationship with Honest Energy. 

1.6 "Offer" is the document Honest Energy sends to the Customer. It includes details like the Customer's information, product description, any extra services provided (like consultation), along with costs and payment methods. Once the Customer signs the Offer to accept it, it becomes a crucial part of the Contract. 

1.7 “Contract” refers to the entirety of the Offer, signed by both Honest Energy and the Customer, along with the General Terms and Conditions 

1.8 Honest Energy is authorized to engage third parties in the execution of an agreement with the Customer. 

1.9 Honest Energy reserves the right to amend or supplement these conditions at any time. 

1.10 Updated terms are effective upon posting on the website. 

1.11 Customers are encouraged to review the terms periodically for changes. 

Article 2: Offers and Conclusion of Agreements  

2.1 Honest Energy's Offer is non-binding regarding price, quantity, timing, and delivery feasibility. 

2.2 Offers are valid while stocks last. Honest Energy does not keep stock for all products listed in 

2.3 A personalized quotation remains valid for two (2) weeks, unless otherwise stated. 

2.4 An agreement between Honest Energy and the Customer is established when an order or request is placed through the website or via email, and the Customer receives an order confirmation via email. Honest Energy retains the right to revoke the agreement if the Customer fails to meet the specified conditions, with notification provided within ten (10) days. 

2.5 Customer and Honest Energy agree that electronic communication creates legally binding agreements if the conditions in Articles 2 are met. Electronic records kept by Honest Energy are admissible evidence under the law. The absence of a conventional signature does not affect the validity of the offer or its acceptance. 

2.6 Information provided regarding offers and product characteristics is presented as accurately as possible, but deviations may occur. Honest Energy does not guarantee full consistency, and deviations generally do not warrant compensation or dissolution. 

2.7 All factors influencing the Customer's decision to enter an agreement are at the Customer's risk. If Honest Energy has good grounds to not enter into an agreement with the Customer, Honest Energy is entitled to refuse an order or attach special conditions giving specific reasons. 

2.8 Honest Energy reserves the right, within legal boundaries, to assess the Customer's ability to fulfill payment obligations and other pertinent factors essential for responsibly finalizing an agreement. If Honest Energy has valid reasons to decline entering an agreement, it may refuse an order or impose specific conditions on its fulfillment, providing rationale for its decision. 

2.9 In case of an agreement cancellation by the Customer, specified amounts are owed to Honest Energy according to outlined conditions. 

Article 3: Prices  

3.1 Unless otherwise agreed, all prices are in euros, in compliance with relevant regulations. 

3.2 All offers are valid while stocks last. Not all items that are shown in the online shop are kept in stock by Honest Energy.  

3.3 The Customer owes the price communicated by Honest Energy in its confirmation. Obvious errors in quotations may be corrected by Honest Energy after the agreement conclusion. 

3.4 Delivery costs are excluded in the product price unless specified. Different rates apply for international delivery outside of the Netherlands. 

3.5 Honest Energy reserves the right to modify prices in response to cost escalations, with provisions regarding consumer termination rights outlined. In the event of increases in cost factors such as purchase prices, labor, materials, transportation, government charges, insurance, and taxes, Honest Energy may adjust the prices charged to the Customer accordingly. This includes passing on increases in prices, charges, costs, premiums, and taxes to the Customer. 

3.6 The Customer bears the expenses associated with assembly, installation work, and necessary provisions for the proper functioning of the products unless otherwise agreed upon in writing with Honest Energy 

Article 4: Payment 

4.1 Orders may be settled using various methods, including PayPal, down payment, or advance payment via bank transfer, subject to conditions established in written agreements. 

4.2 Failure by the Customer to adhere to the payment timeframe specified in the written agreement constitutes a breach of payment terms. 

4.3 Late payment will incur statutory interest until full settlement, alongside any (extra) judicial collection costs borne by the Customer. 

4.4 Honest Energy reserves the right to charge the Customer for collection costs resulting from payment defaults. 

4.5 In case of late payment, Honest Energy may choose to terminate the agreement or suspend delivery until all obligations, including interest and costs, are met. 

4.6 Honest Energy retains the right to reclaim products and terminate the agreement due to payment default, provided prior notice is given. 

4.7 Unless stated otherwise, prices listed on the website are in euros and inclusive of VAT. 

4.8 Orders are processed upon receipt of payment. Honest Energy reserves the right to request partial or full payment of the order before product shipment. After product shipment, Honest Energy will send the relevant invoice to the Customer. The open balance must be settled within fourteen (14) days as per the agreed terms unless otherwise specified in writing. The payment term of fourteen (14) days is a strict deadline. 

4.9 Honest Energy reserves the right to cancel orders in the event of pricing errors or payment complications. 

Article 5: Shipping, Delivery, and Delivery Time  

5.1 Upon receipt of full payment, Honest Energy will proceed with the delivery of ordered goods, unless otherwise agreed. Delivery will be made to the address provided by the Customer. 

5.2 Agreed delivery times are not strict deadlines and are contingent, among other factors, on the Customer's payment. In case of late delivery, the Customer must issue written notice of the late delivery, allowing Honest Energy a reasonable period to fulfill its obligations. 

5.3 Upon delivery to the specified address, the risk associated with the products passes to the Customer. 

5.4 Honest Energy reserves the right to deliver products in parts and to invoice each part separately. 

5.5 The Customer is obligated to accept delivery of purchased products when offered by Honest Energy. Failure to accept delivery or provide necessary information may result in storage of products at the Customer's expense and risk for up to two (2) weeks. 

5.6 If the Customer fails to accept delivery within the specified period or indicates refusal, Honest Energy's delivery obligation ceases, though the invoice value remains payable by the Customer. 

5.7 Shipping costs are determined based on destination and package weight. 

5.8 Orders are delivered promptly, with quoted delivery times provided by Honest Energy as guidelines. Delivery times are estimates and may vary depending on location and product availability. Customers will be notified of temporary stock shortages, and Honest Energy endeavors to communicate any delays promptly. 

5.9 Customers are responsible for ensuring accurate shipping information. 

5.10 Risk of product loss or damage transfers to the Customer upon delivery. 

Article 6: Returns and Exchanges 

6.1 Upon delivery, the Customer is required to promptly inspect the products for any defects. Defects must be reported immediately. Exchange of certain products is feasible under specific conditions. To qualify for exchange, the Customer must provide written notification to Honest Energy within one day of the delivery date, and approval from Honest Energy is required. 

6.2  Returns, replacements, or reversals of products, whether partially or entirely, require written consent from Honest Energy, and a minimum fee of 35% of the net product price applies. 

6.3 Customers have the right to return products within a specified period of 14 days for a refund or exchange. 

6.4 Refunds are processed within a reasonable time frame after receiving returned products. 

Article 7: Right of Withdrawal  

7.1 Customer has the right to cancel the agreement within a 14-day reflection period without providing reasons. Honest Energy may inquire about the reasons for cancellation, but cannot compel the Customer to provide them. 

7.2 The reflection period begins the day after the Customer, or a third party designated by the Customer, other than the carrier, takes possession of the product. 

7.3 During the reflection period, the Customer must handle the product and its packaging with care. The product should only be unpacked or used to the extent necessary to ascertain its nature, characteristics, and operation. Any decrease in the product's value due to handling beyond these limits is the responsibility of the Customer. 

7.4 If the Customer decides to withdraw from the agreement, they must inform Honest Energy within the reflection period in writing. 

7.5 The Customer must return the product promptly, but no later than 14 days after notifying Honest Energy of their withdrawal. The product should be returned with all supplied accessories, ideally in its original condition and packaging, following Honest Energy's instructions. The Customer bears the risk and costs of returning the product and is responsible for proving the correct and timely exercise of the right of withdrawal. 

7.6 Upon receipt of the Customer's withdrawal notification, Honest Energy will promptly acknowledge it. Honest Energy will reimburse all payments made by the Customer for the product without delay, no later than 14 days after receiving the product or proof of its return from the Customer. 

7.7 The right of withdrawal does not apply to Customers acting within their business or professional activities. 

Article 8: Retention of Title  

8.1 Product ownership transfers to the Customer after full payment of all obligations. 

8.2 Customer cannot sell or burden products before ownership transfer. 

8.3 The products delivered by Honest Energy remain the property of Honest Energy until the Customer has paid the purchase price and delivery charges in full. As long as the retention of title applies, the Customer may not pledge the products in question or establish any other right to them. 

Article 9: Installation and Assembly  

9.1 Customer is responsible for product installation unless otherwise agreed. Additional work may incur extra charges, communicated beforehand. 

9.2 Customer assumes risk for certain damages during installation. 

9.3 Installation services may be offered by Honest Energy via third-party contractors. Installation costs and terms are communicated to the Customer prior to purchase. Honest Energy is not responsible for any agreements made between the Customer and the third-party. 

Article 10: Warranty 

10.1: Honest Energy does not provide product warranties. Products supplied by Honest Energy are covered by manufacturer warranties in accordance with legal regulations. Honest Energy will address defects by offering free repairs, replacement products, or refunds, at its discretion. Costs for dismantling or installing replacement products are not covered. Warranty exclusions apply in defined circumstances, and products are guaranteed to be free from defects or faults affecting their value. 

10.2: Warranty coverage does not extend to defects resulting from normal wear and tear or external causes, including intent, gross negligence, or improper maintenance. 

10.3: Warranty rights are forfeited if invoices cannot be provided, products are misused or mishandled, or if unauthorized alterations are made. Customer indemnifies Honest Energy against third-party claims. 

10.4: To invoke warranty rights, the Customer must allow Honest Energy fourteen (14) days to inspect the product. Failure to do so may result in the forfeiture of warranty rights. Warranty claims require inspection and proof of purchase. 

10.5: Warranty claims do not exempt the Customer from payment obligations to Honest Energy. Customer accepts risks associated with product use. 

10.6: Once defects are repaired or products replaced under warranty, Honest Energy's warranty obligations are fulfilled. Honest Energy disclaims liability for service delays. 

10.7: The warranty terminates automatically in the event of bankruptcy or discontinuation of the supplier's operations. Manufacturer's warranty details are provided with the product. 

10.8: Honest Energy may opt to offer lump-sum compensation instead of replacing defective products. Defective products reported within ten days may be replaced, repaired, refunded, or subject to a fee reduction at Honest Energy's discretion. 

10.9: Manufacturer warranties are transferred to the Customer, who can claim them after the statutory warranty period ends. Honest Energy may assist the Customer in this process as deemed necessary. Complaints or disputes do not entitle the Customer to payment delays, and unfounded complaints impose reimbursement obligations for expenses incurred. Warranty is void if products are tampered with, modified, mishandled, or used improperly. Warranty duration is generally 12 months from delivery, unless otherwise stated in the documentation by the manufacturer. 

Article 11: Liability 

11.1 Honest Energy is only liable for compensation in cases of intent or gross negligence. Consequential, indirect, or business damages are not covered. 

11.2 Honest Energy is liable for compensation for a good or service not delivered only. Other damages excluded include indirect, customer directed installation-related, income loss, delay-related, insufficient cooperation, and damages from information or advice provided. 

11.3 Liability for defects is limited to the invoiced amount agreed upon and paid by the Customer. 

11.4 Compensation claims require written notification within a reasonable period. 

11.5 All compensation claims expire after one (1) year unless pursued legally within that time. 

11.6 Customer indemnifies Honest Energy against third-party claims. 

11.7 Honest Energy will reasonably assist customers in claiming warranties, indemnities, or other claims against suppliers to the extent Honest Energy is entitled to such benefits from its own suppliers. 

Article 12: Dissolution of the Agreement 

12.1 Honest Energy reserves the right, upon written notice of default, to terminate the agreement without judicial intervention and without obligation to pay compensation, in the following circumstances: 

• Customer fails to fulfill its obligations to Honest Energy in a timely or proper manner. 
• Honest Energy reasonably suspects Customer's liquidity problems. 
• Customer is declared bankrupt or has its assets seized, in whole or in part. 

12.2 Upon termination of the agreement as per clause 12.1, all outstanding claims of Honest Energy against Customer become immediately due and payable in full. 

Article 13: Force Majeure  

13.1 During a force majeure event, Honest Energy is relieved of its obligations to Customer, and these obligations are suspended for the duration of the force majeure. 

13.2 Force majeure refers to circumstances beyond Honest Energy's control that prevent or hinder the fulfillment of the agreement, making it impossible or unreasonably difficult to perform. This includes situations such as theft, war, disturbances, epidemics, strikes affecting Honest Energy or other companies, shortages of necessary products or services, delays at suppliers or third parties, transportation issues, fires, and government measures like import/export bans or sanctions. 

13.3 If the force majeure persists for more than six (6) months, both parties have the right to terminate the agreement. In such cases, Honest Energy is not liable to pay any compensation. 

Article 14: Intellectual Property  

14.1 Honest Energy holds all intellectual property rights pertaining to the supplied products, unless these rights also belong to the supplier. 

14.2 Intellectual property encompasses various elements such as the agreement, offer, designs, manuals, documentation, displayed information, announcements, and any patentable technical and commercial knowledge, methods, and concepts. 

14.3 The Customer is forbidden from utilizing or modifying the intellectual property described herein, including reproduction, without prior written consent from Honest Energy, its suppliers, or other rightful owners, unless strictly for personal use related to the product itself. 

Article 15: Personal Data  

15.1 Customer data processing follows Honest Energy's privacy policy. 

15.2 Honest Energy will comply with the applicable privacy regulations and legislation. 

Article 16: Complaints Procedure 

16.1 Complaints regarding agreement performance must be reported to Honest Energy in writing promptly upon detecting defects, typically within 7 days. Honest Energy commits to addressing submitted complaints within  a reasonable period, providing an acknowledgment if further processing time is needed. 

16.2 It's important to note that filing a complaint does not absolve Honest Energy or the Customer of their obligations under the agreement. Valid complaints entitle the Customer to free replacement or repair of the product in question. 

Article 17: Applicable Law 

17.1 Dutch law governs all offers and agreements. 

Article 18: Miscellaneous  

18.1 Correspondence to Honest Energy is directed by email at hello@honest-energy.eu 

18.2 Honest Energy aims to respond to emails within five working days. 

18.3 By using links to external websites provided by Honest Energy, you acknowledge that these links are provided for informational purposes only. Honest Energy assumes no responsibility for the content, accuracy, or reliability of information on external websites, and users engage with them at their own risk. 

Article 19: Product Information and Specifications  

19.1 Honest Energy provides accurate information about products, including specifications and features. 

19.2 Product images are for illustrative purposes and may differ from the actual product. 



19.3 Honest Energy reserves the right to modify product specifications without prior notice.
